Terms of Service

By accessing, browsing, or using VidRequest (the "Platform"), including any associated websites, mobile applications, APIs, or services, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service (the "Terms"). If you do not agree to all of these Terms, you must immediately cease using the Platform.

These Terms constitute a legally binding agreement between you ("User," "you," or "your") and VidRequest ("we," "us," or "our"). Your continued use of the Platform following any modification to these Terms constitutes your acceptance of such changes.

VidRequest is a two-sided marketplace that connects brands, agencies, and businesses ("Brands") with independent user-generated content creators ("Creators") for the production of video, photo, and raw content. The Platform facilitates discovery, ordering, payment processing, communication, delivery, and dispute resolution between Brands and Creators.

VidRequest acts solely as an intermediary platform. We are not a party to any agreement between Brands and Creators, nor do we employ, supervise, direct, or control any Creator. Creators are independent contractors and are solely responsible for the content they produce and the manner in which they produce it.

You must be at least 18 years of age (or the age of legal majority in your jurisdiction, whichever is greater) to use the Platform. By creating an account, you represent and warrant that you meet these eligibility requirements.

If you are accessing the Platform on behalf of a business, organization, or other entity, you represent and warrant that you have the authority to bind that entity to these Terms, and "you" refers to both you individually and the entity.

You must register an account to access most features of the Platform. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate, current, and complete.

You are solely responsible for safeguarding your account credentials and for all activities that occur under your account. You must immediately notify us at hello@vidrequest.com if you suspect unauthorized access to or use of your account. We are not liable for any loss or damage arising from unauthorized use of your account.

Users register as either a Brand or a Creator. Each role carries specific rights and obligations as outlined in these Terms. You may not maintain accounts under both roles without prior written approval.

Creators must complete identity verification (KYC) through our verification partner before accepting or receiving orders. By completing KYC, you consent to the collection and processing of your identity documents for verification purposes.

Creators agree to:

• Deliver content that matches the specifications and requirements agreed upon in each order, within the agreed timeframe
• Ensure all delivered content is original work that does not infringe any third-party intellectual property rights, privacy rights, or any other rights
• Not include any unlicensed music, stock footage, logos, trademarks, or other protected materials in deliveries unless expressly authorized by the rights holder
• Maintain professional conduct in all interactions with Brands on the Platform
• Comply with all applicable laws and regulations in their jurisdiction, including tax obligations
• Not directly solicit Brands for off-platform transactions

Creators are solely responsible for obtaining any permits, releases (including model releases and location releases), or consents required for the content they produce.

Brands agree to:

• Provide clear, complete, and reasonable content requirements and creative briefs for each order
• Review deliveries promptly and in good faith
• Not use delivered content in ways that exceed the scope of the license granted upon payment
• Not directly solicit Creators for off-platform transactions
• Comply with all applicable advertising, marketing, and consumer protection laws when using content obtained through the Platform

If a Brand does not accept or dispute a delivery within 72 hours of submission, the delivery will be deemed automatically accepted, and payment will be released to the Creator.

All payments for orders placed through the Platform are processed via secure escrow. When a Brand places an order, the full order amount is charged immediately and held in escrow until the Brand accepts the delivery or the auto-acceptance period lapses.

The Platform charges a service fee of 20% on all completed transactions. This fee is deducted from the Creator's payout. Prices displayed to Brands include all applicable Platform fees.

Payment processing is handled by third-party payment processors, including Stripe. By using the Platform, you agree to be bound by the terms and privacy policies of our payment processors. We do not store credit card numbers or bank account details on our servers.

Creators may withdraw their cleared earnings at any time, subject to minimum withdrawal thresholds and processing times. All Users are solely responsible for reporting income and paying any applicable taxes in their jurisdiction.

We reserve the right to hold, delay, or withhold payouts if we reasonably suspect fraud, a violation of these Terms, or if required by law or our payment processors.

Orders may be cancelled by the Brand before a Creator has begun work, subject to the cancellation policy displayed at the time of purchase. Once work has begun, cancellation is at the discretion of the Creator.

Refunds are issued at VidRequest's sole discretion and only in connection with disputes resolved in favor of the Brand. We are not obligated to issue refunds for subjective dissatisfaction with content that materially meets the agreed specifications.

If a Brand is unsatisfied with a delivery, they may open a dispute within 7 days of delivery. The Platform will review disputes and may, at its sole discretion, issue full or partial refunds, require revisions, or take other actions it deems appropriate.

Both parties agree to cooperate in good faith during the dispute resolution process and to provide any information or evidence reasonably requested by the Platform.

VidRequest's dispute resolution decisions are final and binding, except where prohibited by applicable law. The Platform's role as mediator does not create any fiduciary duty or liability to either party.

Content Ownership: Creators retain all intellectual property rights in the content they create, subject to the license granted to the Brand upon completed payment.

License to Brands: Upon acceptance of a delivery and release of payment, the Brand receives a non-exclusive, perpetual, worldwide license to use, reproduce, modify, distribute, and publicly display the delivered content for commercial purposes, unless a different licensing arrangement is specified in the order. This license does not include the right to resell the content as stock media.

Platform Content: All content, trademarks, logos, graphics, software, and other materials on the Platform (excluding user-generated content) are owned by or licensed to VidRequest and are protected by intellectual property laws. You may not copy, modify, distribute, sell, or exploit any Platform content without our express written permission.

User Content License: By posting content on the Platform (including profile information, portfolio samples, and reviews), you grant VidRequest a non-exclusive, royalty-free, worldwide license to use, display, reproduce, and distribute that content in connection with operating and promoting the Platform.

You agree not to:

• Circumvent, avoid, or bypass the Platform's payment system, including soliciting or accepting payments outside the Platform for transactions initiated on the Platform
• Create false, misleading, or fraudulent accounts, profiles, gig listings, reviews, or other content
• Harass, threaten, abuse, or intimidate any other User
• Upload or transmit viruses, malware, or other harmful code
• Use the Platform for any unlawful, fraudulent, or unauthorized purpose
• Scrape, crawl, or use automated means to access the Platform or extract data without our written permission
• Impersonate any person or entity, or falsely state or misrepresent your affiliation with any person or entity
• Interfere with or disrupt the integrity or performance of the Platform or its infrastructure
• Attempt to gain unauthorized access to any portion of the Platform, other accounts, computer systems, or networks connected to the Platform
• Use the Platform to produce, distribute, or facilitate content that is illegal, defamatory, obscene, or that exploits minors
• Manipulate reviews, ratings, or search results
• Create multiple accounts to circumvent suspensions, bans, or Platform limits

We reserve the right to investigate and take appropriate action against any User who violates these prohibitions, including removing content, suspending or terminating accounts, and reporting activity to law enforcement.

Users are solely responsible for the content they post, upload, or transmit through the Platform. We do not pre-screen all content but reserve the right to review, modify, or remove any content that violates these Terms or is otherwise objectionable, at our sole discretion and without prior notice.

We may use automated tools and manual review to detect content that violates our policies. We are not obligated to monitor all content and are not liable for content posted by Users.

THE PLATFORM IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING OUT OF COURSE OF DEALING OR USAGE OF TRADE.

WE DO NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. WE DO NOT WARRANT THE ACCURACY, RELIABILITY, COMPLETENESS, OR TIMELINESS OF ANY INFORMATION PROVIDED THROUGH THE PLATFORM.

WE MAKE NO REPRESENTATIONS OR WARRANTIES REGARDING THE QUALITY, SUITABILITY, SAFETY, OR LEGALITY OF ANY CONTENT PRODUCED BY CREATORS, THE QUALIFICATIONS OF ANY CREATOR, OR THE ABILITY OF ANY BRAND TO PAY FOR SERVICES.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL VIDREQUEST, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AFFILIATES, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, REGARDLESS OF WHETHER WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT SHALL OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR YOUR USE OF THE PLATFORM EXCEED THE GREATER OF (A) THE TOTAL FEES PAID BY YOU TO VIDREQUEST IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS (USD $100).

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES. IN SUCH JURISDICTIONS, OUR LIABILITY IS LIMITED TO THE GREATEST EXTENT PERMITTED BY LAW.

You agree to indemnify, defend, and hold harmless VidRequest, its officers, directors, employees, agents, affiliates, and licensors from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or in connection with:

• Your use of or access to the Platform
• Your violation of these Terms
• Your violation of any applicable law or regulation
• Your violation of any third-party rights, including intellectual property, privacy, or publicity rights
• Any content you post, upload, or transmit through the Platform
• Any transaction or dispute between you and another User

We may suspend or terminate your account and access to the Platform at any time, with or without cause, and with or without notice, including but not limited to cases of suspected fraud, violation of these Terms, or inactivity.

Upon termination, your right to use the Platform ceases immediately. Any pending orders at the time of termination will be handled according to our dispute resolution process. Provisions of these Terms that by their nature should survive termination shall survive, including but not limited to intellectual property provisions, warranty disclaimers, indemnification, and limitations of liability.

You may delete your account at any time through your account settings or by contacting us. Account deletion does not relieve you of any obligations arising from transactions completed prior to deletion.

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which VidRequest operates, without regard to conflict of law principles.

Any dispute arising out of or relating to these Terms or the Platform that cannot be resolved informally shall be resolved through binding arbitration in accordance with the rules of a recognized arbitration body, except that either party may seek injunctive or equitable relief in a court of competent jurisdiction.

YOU AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. IF FOR ANY REASON A CLAIM PROCEEDS IN COURT RATHER THAN IN ARBITRATION, YOU WAIVE ANY RIGHT TO A JURY TRIAL.

The Platform integrates with third-party services for payment processing, identity verification, file storage, and other functions. Your use of such third-party services is subject to their respective terms of service and privacy policies. We are not responsible for the acts or omissions of any third-party service providers.

By creating an account, you consent to receive electronic communications from us, including emails, in-app notifications, and push notifications related to your account, orders, and the Platform. You may opt out of promotional communications at any time, but transactional communications (such as order confirmations and security alerts) cannot be opted out of while your account is active.

If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. The invalid or unenforceable provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving the original intent.

These Terms, together with our Privacy Policy and Cookie Policy, constitute the entire agreement between you and VidRequest regarding your use of the Platform and supersede all prior agreements, understandings, and representations. No waiver of any provision of these Terms shall be deemed a further or continuing waiver of such provision or any other provision.

We reserve the right to modify these Terms at any time. We will provide notice of material changes by updating the "Last updated" date at the top of this page and, where practicable, by notifying you via email or in-app notification at least 30 days before the changes take effect.

Your continued use of the Platform after the effective date of any changes constitutes your acceptance of the updated Terms. If you do not agree to the updated Terms, you must stop using the Platform and may delete your account.
